Acceptance of Terms
By accessing or using the Mellite platform, website, mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Services.
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Mellite Global Private Limited ("Mellite", "we", "our", or "us").

Mellite provides a B2B SaaS platform for real estate developers to manage buyer personalizations, material credit calculations, site execution tracking, vendor procurement, and related construction lifecycle services ("the Service").
We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the Service or any part thereof with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

To access certain features of the Service, you must register for an account. When registering, you agree to:
Accurate Information
Provide accurate, current, and complete information during registration and keep your account information updated.
Account Security
Maintain the confidentiality of your account credentials and be responsible for all activities that occur under your account.
Password Protection
Notify us immediately of any unauthorized use of your account or any other breach of security known to you.
Single Account
Not share your account credentials with any third party or allow any third party to access or use the Service through your account.
Age Requirement
Be at least 18 years of age and have the legal capacity to enter into these Terms.

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Prohibited activities include, but are not limited to:

Attempting to gain unauthorized access to any portion of the Service, other accounts, or computer systems connected to the Service.

Using any robot, spider, crawler, data mining tools, or other automated means to access the Service for any purpose without our express written permission.
Malicious Content
Transmitting any viruses, malware, or other malicious code through the Service.
Harassment
Harassing, threatening, intimidating, or harming any other user of the Service or our employees and contractors.
Reverse Engineering
Reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Service.
Resale
Reselling or providing the Service to any third party without our express written consent.
Payment Terms
Certain features of the Service require payment of fees. By subscribing to a paid plan, you agree to the following payment terms:
Billing
You will be billed in advance on a recurring basis for your subscription. Billing cycles are monthly or annual as selected during signup.
Payment Methods
You must provide valid payment information. We reserve the right to validate your payment method and may require pre-authorization.
Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled at least 7 days before the renewal date.
Price Changes
We may change our pricing at any time. Price changes will take effect at the start of the next billing cycle. We will provide reasonable notice of any price increases.
Refunds
Refunds are handled on a case-by-case basis. Annual plans may be prorated for cancellation. No refunds for partial months of monthly subscriptions.
Late Payments
Unpaid invoices may result in service suspension. We reserve the right to charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law.
Intellectual Property Rights
The Service and its original content, features, functionality, design, and trademarks are and will remain the exclusive property of Mellite Global Private Limited and its licensors. The Service is protected by copyright, trademark, trade secret, and other laws of both India and foreign countries.
Our IP
All content included on the Service, such as text, graphics, logos, icons, images, audio clips, digital downloads, and data compilations, is the property of Mellite or its licensors.
Your Content
You retain ownership of all content you upload, submit, or transmit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and display such content for the purpose of providing and improving the Service.
Feedback
Any feedback, suggestions, or ideas you provide about the Service become our property and we may use them without restriction or compensation.
Confidentiality
Each party agrees to maintain the confidentiality of the other party's proprietary information disclosed during the course of using the Service. This includes, but is not limited to, business plans, technical data, product ideas, and customer information.

Includes all non-public information relating to our technology, business operations, pricing, product roadmaps, and customer data.
Your Confidential Information
Includes all non-public information relating to your business, project data, financial information, and customer data.
Exclusions
Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.
Data Protection & Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We are committed to protecting your personal data in accordance with applicable data protection laws.
Limitation of Liability
To the fullest extent permitted by applicable law, Mellite Global Private Limited, its directors, employees, agents, partners, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Service Use
Your access to or use of (or inability to access or use) the Service.
Conduct of Users
Any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive, or illegal conduct of other users or third parties.
Unauthorized Access
Any unauthorized access to or use of our servers and/or any personal information stored therein.
Service Interruption
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party.
In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the amount paid by you to us during the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Mellite Global Private Limited and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:
Your Access or Use
Your access to or use of the Service, or your inability to access or use the Service.
Your Content
Any content submitted, posted, or transmitted through your account.

Your violation of these Terms or any other legal obligation.
Third-Party Claims
Any third-party claim arising from your use of the Service, including claims related to project execution, vendor relationships, or buyer interactions.
Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by contacting our support team or through the account settings page.
By Us
We may terminate or suspend your account immediately for breach of Terms, fraudulent activity, or any other reason we deem necessary to protect the platform and its users.
Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
Data Retrieval
Upon termination, you will have 30 days to export your data from the platform before it is permanently deleted, subject to our data retention policies.
Dispute Resolution
We are committed to resolving disputes fairly and efficiently. Before initiating any formal proceedings, you agree to attempt to resolve any dispute informally by contacting our legal team at [email protected].
Good Faith Negotiation
Both parties agree to attempt to resolve any dispute through good faith negotiation for a period of 30 days before initiating formal proceedings.
Arbitration
If informal negotiation fails, the dispute shall be resolved through arbitration administered by the Indian Arbitration Council in accordance with the Arbitration and Conciliation Act, 1996.
Arbitrator
The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties, or appointed in accordance with the rules of the Indian Arbitration Council.
Venue
The arbitration shall take place in Bangalore, Karnataka, India, and the language of the arbitration shall be English.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect by posting the updated Terms on this page and/or sending an email notification to the address associated with your account.
Notification
Material changes will be communicated via email and in-app notification.
Continued Use
Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms.

General Provisions
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Mellite regarding the Service and supersede any prior agreements.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.
Entire Agreement
These Terms constitute the entire agreement between you and Mellite with respect to the Service and supersede all prior agreements and understandings.
